Centered Legal Partners

Attorneys at Law, St. Louis, Missouri

Counsel for the people who build companies and own real estate.

Centered Legal Partners is a law firm for middle-market operators and for the owners and investors who hold commercial real estate. Our attorneys practice in focused areas, and our founders have started, financed, and sold companies of their own, and have owned, operated, managed, and financed real estate. Each client, whether a company, a property, or a portfolio, has one senior attorney who knows the business and the assets and takes responsibility for the whole of its legal affairs.

For Clients

Counsel for operators and owners.

One senior lawyer who knows your business and your property and sees the whole picture, with the right specialists and the Centered Partners team behind them.

How we serve clients

For Lawyers

Hold the whole relationship.

For experienced attorneys who want to own the full client relationship, practice with a real platform behind them, and build ownership in the firm.

The model for attorneys

The Firm

Legal depth, informed by operating experience.

We pair attorneys who have real depth in the matters that concern operators and real estate owners with a founding team that has started, financed, scaled, and sold companies, and has owned, operated, managed, and financed real estate. The person you meet is the person who does the work.

Our experience comes from both sides of the table: buyer and seller, borrower and lender, employer and counterparty. We have signed agreements as the party bound by them, lived with their terms years after closing, and met payroll. That history makes us careful drafters and plain advisers, because we know what the legal work is there to protect.

These statements describe the founding team's own business experience. They are not legal case results and are not a prediction of the outcome of any legal matter.

Who We Serve, and Why Value Matters

Enterprise value is built every day, not found at the exit.

We serve owners who run operating companies and owners who hold and invest in real estate, and they are often the same people: the founder who owns the building the business runs from, the family that holds property alongside the company, the investor assembling a portfolio over time.

We have built companies from a founder's first hire, acquired and integrated others, and carried businesses through growth to a sale. Along the way we learned where value begins, where risk hides, and how often the fine print decides between them.

Culture belongs in that account. A business that keeps its people aligned and its operators trusted compounds in worth; one that does not erodes quietly. We draft agreements and structures to protect the culture as well as the value you are building.

Real estate follows the same logic. The worth of a property lives in its leases, its title, its loan documents, and the entity that holds it. A clear lease and a clean ownership structure add to what an asset is worth; a careless one tends to surface at the refinancing or the sale, when it is costly to fix.

How We Work

Led by people, assisted by technology.

We use modern tools for routine work so that our attorneys can spend their time on judgment and on clients. We begin with the actual problem rather than its symptoms, design the legal strategy and structure around where the business is going, carry the work out with care, and adjust as circumstances change.

The people who set strategy do the work. You will know what we are doing, why, and what it costs, with pricing set out in advance and advice given in plain language. We judge our work by whether it moves your business forward, not by the hours recorded.

The Quarterback Model

One senior attorney for the whole of your affairs.

Owners are often left to coordinate a lawyer, an accountant, a broker, and a banker who never speak to one another. We reverse that arrangement. Your attorney knows the business, owns the outcome, and brings in a specialist when a matter calls for one, then keeps that specialist on scope and on budget and returns the result to you as a plain decision.

Take a company buying the building it operates from. The purchase agreement, the title and survey review, the loan, the entity that will hold the property, the lease back to the operating company, and the coverage on both have to fit together. Your attorney handles the legal work, coordinates the lender, the broker, and the insurer, and makes sure the property and the business move as one plan rather than as separate transactions. The same is true when an investor sells one property and buys another through a 1031 exchange, and the timing, the title, and the holding entity must all line up.

Legal work comes first, and the Centered Partners team is there when you need it. You stop managing your own advisers and return to running the company, or the portfolio.

The Centered Platform

One relationship, a multidisciplinary team.

Centered Legal Partners practices alongside Centered Partners, a multidisciplinary firm that advises business owners and real estate investors. Centered Legal Partners is a part owner of Centered Partners. Through that relationship, clients and attorneys work with a coordinated team across legal, insurance and risk, commercial real estate, capital markets, and M&A advisory, with one relationship at the center.

When a property acquisition calls for coverage, financing, and a broker's view of the market, or the sale of a company touches the real estate beneath it, the right advisers are already in place and already working from the same plan as your attorney.

Legal services come only from Centered Legal Partners. Centered Partners' services are not legal services, and you will always know which is which.

Practice

Matters we handle for operators and property owners.

The legal life of a business and its real estate, from formation to succession.

Business and Corporate
Formation, governance, ownership, and ongoing counsel.
Contracts and Commercial
The agreements that run the company, drafted and negotiated.
Real Estate
Acquisitions and dispositions; leasing for landlords and tenants; development and construction; acquisition, construction, and refinance financing; entity and ownership structuring; 1031 exchanges and long-term holding structures; and property management agreements. We represent owners, investors, and the operating companies that occupy their buildings.
Finance and Capital
Lending, equity, and the structures behind growth.
Mergers and Acquisitions
Buy side and sell side, from letter of intent to closing.
Succession and Ownership
Transfers, buy-sell agreements, and planning for the next chapter.
Employment
Workforce agreements, policies, and risk.
Disputes
Managed by your attorney, with the right specialists engaged.

Our attorneys handle these matters in house. When a matter calls for a niche specialist beyond our bench, we engage one and coordinate the work for you.

For Lawyers

Hold the whole client relationship, and own part of the firm you help build.

We are building Centered Legal Partners with a small group of experienced attorneys who want to hold the full client relationship and to practice alongside the Centered Partners team in insurance and risk, commercial real estate, capital markets, and M&A. Business lawyers and real estate lawyers are equally at home here.

What You Would Own

The whole picture, not only the file.

Many practice models give a lawyer one slice of the client, or all of the overhead. Here you serve as the client's quarterback. You know the business, you see the full set of issues, and you understand how a legal question connects to risk, property, capital, and the deal. When it matters, you bring in the lawyer, the broker, or the banker, and you keep everyone pointed at the same goal.

For a real estate lawyer, that means seeing the lease, the loan, and the holding entity as parts of the owner's whole plan, and being the person who keeps the acquisition, the financing, and the structure in step.

The relationship is yours to build. The client hears plain language, meets no surprises, and always knows who is doing what and why. The client stops managing a room of advisers, and you stop working in a silo.

The Platform Behind You

You would not be building a practice from a blank page.

Centered Legal Partners is a part owner of Centered Partners, which already advises business owners and real estate investors on insurance and risk, commercial real estate, capital markets, and M&A. That is the bench a client's quarterback can call on: coverage and risk review alongside the contract; acquisition, leasing, and disposition on the advisory side; debt and equity capital for growth, refinancing, and projects; and buy side and sell side advisory from first look to closing.

Legal services come only from Centered Legal Partners; Centered Partners' services are not legal services, and clients always know which is which. Firm infrastructure, modern tools, and transparent pricing are already in place, so your time goes to judgment and to clients.

The Ownership Model

Ownership from the start, and more as you build.

We want the people who build this firm to own it. The details are still being designed. In outline:

Equity at the outset
Founding attorneys would receive a grant of equity at the start, likely structured as a profits interest.
Grants that follow contribution
Additional grants based on productivity and on contributions to the firm itself: building people, systems, and culture.
An option to buy in
Attorneys who want a larger stake would have a path to buy additional ownership.
Built inside the rules
Only lawyers own the law practice. Legal fees are not shared with nonlawyers.

This is a summary of a model under development. It is not an offer of equity, securities, or employment. Entity structure, eligibility, and terms are not final and would be set out only in definitive written agreements. Any structure will comply with the Missouri Rules of Professional Conduct.

Who We Are Looking For

Experienced lawyers who want the whole relationship.

This will not suit everyone. It suits lawyers who already think like advisers and want a structure that rewards it: attorneys with years of practice serving businesses and their owners, at ease as the senior person in the room; who care about the client's business as well as the legal question, and can speak to cash flow, risk, and timing; and who want to shape a firm and help design how it works, not simply join one.

Practice backgrounds that fit include business and corporate, contracts and commercial, real estate, finance, M&A, insurance and coverage, succession and ownership transfer, and employment. Real estate lawyers are a natural fit, whether your practice centers on acquisitions and dispositions, leasing, development and construction, or real estate finance, because an owner's legal needs so often run through the property. Other backgrounds are welcome if the mindset fits.
